BidMatchAI General Terms of Use

1. Acceptance of Terms

By accessing or using the BidMatchAI platform (“Platform”) and services provided by BidMatchAI Inc. (“BidMatchAI”, “we”, “us”, or “our”), you (“User”, “you”) agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Platform.

You confirm that you are legally capable of entering into binding agreements and that you meet the eligibility criteria specified herein.

2. Eligibility

You must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction

  • Provide accurate, current, and complete registration and account information

  • Use the Platform solely for lawful business activities consistent with these Terms

3. Services Description

BidMatchAI provides data-driven trade analysis, market intelligence, supplier-buyer matching, and B2B advisory services. All services are provided “as-is” and for informational, consultative purposes only. BidMatchAI does not guarantee commercial success, accuracy, or any financial outcomes.

4. User Account and Security

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You accept all activities and transactions under your account, whether authorized by you or not.

  • You agree to notify BidMatchAI immediately of any unauthorized use or security breach.

5. User Responsibilities

You agree to:

  • Use the Platform lawfully and ethically

  • Refrain from uploading harmful software, viruses, or malicious code

  • Not infringe on third-party intellectual property or rights

  • Not copy, reproduce, modify, or distribute Platform content without explicit permission

  • Not resell, sublicense, or share access to the Platform services

  • Provide truthful, accurate, and complete information during registration and use

6. Intellectual Property Rights

All intellectual property rights in the Platform, including but not limited to software, content, reports, data, trademarks, and logos, are owned by BidMatchAI or its licensors. No rights or licenses are granted to Users except as expressly stated.

7. Payment and Fees

Use of certain services may require payment. All fees are outlined in the sales agreements or checkout pages. Payments are non-refundable unless explicitly stated. BidMatchAI reserves the right to change fees with prior notice.

8. Disclaimer and Limitation of Liability

  • The Platform and services are provided “as-is” without warranties of any kind.

  • BidMatchAI does not warrant that services will be uninterrupted, error-free, or fit for any particular purpose.

  • You acknowledge that use of the Platform is at your sole risk.

  • BidMatchAI is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform or reliance on its content.

  • This limitation applies even if BidMatchAI has been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless BidMatchAI, its affiliates, officers, employees, and partners from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your:

  • Violation of these Terms

  • Misuse of the Platform

  • Violation of any third-party rights or applicable law

10. Termination and Suspension

BidMatchAI reserves the right to suspend or terminate your access to the Platform without prior notice if:

  • You breach any provision of these Terms

  • Your actions harm the Platform, other users, or BidMatchAI’s business interests

  • BidMatchAI decides to discontinue or modify the Platform or its services

Upon termination, all licenses and rights granted to you end immediately.

11. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of the Province of Ontario, Canada. Any disputes must be exclusively resolved in the courts of Ontario, Canada.

If you access the Platform from outside Canada, you are responsible for compliance with local laws.

12. Changes to Terms

BidMatchAI may update these Terms from time to time. Updates become effective upon posting on the Platform. Your continued use after changes constitutes acceptance of the updated Terms.

13. Miscellaneous

  • These Terms constitute the entire agreement between you and BidMatchAI regarding your use of the Platform.

  • If any provision is found unenforceable, the remainder remains in effect.

  • No waiver of any term is effective unless in writing and signed by BidMatchAI.
