1. DEFINITIONS & PLATFORM OVERVIEW

  • “BidMatchAI” / “We” / “Us”: Refers to BidMatchAI Inc., an AI-powered B2B procurement platform connecting verified buyers and suppliers using real-world trade data and intelligent match algorithms bidmatchai.com+1.

  • “User” / “You”: Any individual or entity registering or using BidMatchAI services.

  • “Services”: Include AI-enabled supplier/buyer matching, RFQ tracking, trade analytics, dashboards, and reports bidmatchai.com+2bidmatchai.com+2.

2. USER ELIGIBILITY

  • You must be at least 18 years old or have legal authorization to register and contract.

  • You are solely responsible for meeting any local legal requirements in your jurisdiction.

3. ACCOUNT CREATION & SECURITY

  • Registration requires accurate, complete company and contact information.

  • You are responsible for safeguarding your login credentials and all account activity. Promptly notify us of any unauthorized use.

4. ACCEPTABLE USE

You agree not to:

  • Use the platform for illegal, fraudulent, or harmful activities.

  • Upload malicious software or infringe anyone’s intellectual property rights.

  • Share or resell access to the Platform.

5. INTELLECTUAL PROPERTY

All content—including text, data, reports, algorithms, branding—is owned by or licensed to BidMatchAI. Unauthorized copying, modification, or distribution is strictly prohibited.

6. PRIVACY POLICY & DATA PROTECTION

6.1 What Data We Collect

  • Personal & Business Data: Name, email, phone, company, RFQ details, product catalogs, HS/GTIP codes, payment data via Stripe, IP and device metadata, customer communications, and marketing preferences bidmatchai.com+2bidmatchai.com+2.

6.2 How We Use Your Data

  • To deliver and enhance services, process payments, send updates, provide reports, secure the platform, and meet legal obligations.

6.3 Legal Bases for Data Use

  • Contract performance: For service delivery.

  • Legal compliance and legitimate interests (e.g., security, fraud prevention).

6.4 Data Sharing & Transfer

  • Shared with trusted providers (Wix, Stripe, Google, and others) under strict contracts.

7. PAYMENT, SUBSCRIPTION & REFUNDS

  • Fees are clearly stated at purchase.

  • Payments are non-refundable unless mandated by law.

  • Subscriptions auto-renew unless canceled beforehand.

8. DISCLAIMERS & LIMITATION OF LIABILITY

  • Services are provided “AS IS” and without warranties.

  • BidMatchAI disclaims liability for indirect, incidental, or consequential damages.

  • Maximum liability is capped at your total payments over the last 12 months.

9. INDEMNITY

You agree to indemnify and hold BidMatchAI and affiliates harmless from any losses arising from your violation of these Terms or misuse of the Platform.

10. TERMINATION

We may suspend or terminate your account, with or without notice, for breach of these Terms. Your access ends immediately upon termination.

11. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved exclusively in Ontario courts.

12. AMENDMENTS TO THIS AGREEMENT

We reserve the right to update these Terms at any time. Major changes are communicated via email or platform notice. Continued use indicates acceptance.
